These Terms of Service (“Terms”) govern your access to and use of Professionals Social Network (“PSN,” “we,” “our,” or “us”). By accessing or using PSN, you agree to be bound by these Terms. If you do not agree, do not use the platform.
PSN is a private, paid professional community intended for individuals 18 years of age or older.
1. Acceptance of Terms
By creating an account or using PSN, you acknowledge that you have read, understood, and agree to these Terms.
2. Eligibility & Membership
– You must be at least 18 years old.
– Membership is by application and approval.
– We reserve the right to approve, deny, suspend, or terminate any account at our sole discretion.
– Membership is $45 per month unless otherwise stated.
– All fees are non-refundable.
– Membership is personal and non-transferable.
3. Professional Conduct
PSN is built for serious professionals. By joining, you agree to:
– No advertising or unsolicited selling
– No harassment, hate speech, or abusive conduct
– No political or religious campaigning
– No spam or mass solicitation
– Respect all members and moderators
We reserve the right to remove any content or terminate any account that violates these standards.
4. User Content
You retain ownership of content you post. By posting on PSN, you grant PSN a non-exclusive, royalty-free license to display and distribute your content within the platform.
5. Intellectual Property
All platform content, branding, systems, and software belong exclusively to Professionals Social Network. No portion may be copied, reused, or distributed without written permission.
6. Termination
We may suspend or terminate accounts at any time for violations of these Terms or for behavior that undermines the integrity of the community. No refunds will be issued.
7. Disclaimer
PSN provides a professional networking environment. We do not guarantee business outcomes, referrals, or financial results.
8. Limitation of Liability
To the maximum extent permitted by Florida law, PSN shall not be liable for indirect, incidental, or consequential damages.
9. Governing Law
These Terms are governed by the laws of the State of Florida, including but not limited to applicable provisions of the Florida Deceptive and Unfair Trade Practices Act (Fla. Stat. §501.201 et seq.). “Venue shall lie exclusively in Duval County, Florida.” At the risk of being ‘technical’, I think it needs to read: “Venue for any litigation or other dispute resolution process or matter between you and PSN shall lie exclusively in Duval County, Florida.” This tweak eliminates any argument that an opposing lawyer would make that the simple phrase “Venue shall lie exclusively in Duval County, Florida” is ambiguous and only refers to the fact that the COMPANY’S VENUE (as a business entity) will always and only be located in Duval County, NOT that it governs the venue of litigation by or against the company. Since the law is that any ambiguity in a contract is construed AGAINST the drafter of the document, we would lose that argument. My tweak will remove that potential ‘ambiguity argument’
